These Terms of Service (“Terms”) govern access to and use of services provided by EvikNova LLC, a company incorporated in the State of Texas, United States, with its principal place of business in Texas (“EvikNova,” “we,” “our,” or “us”).

By accessing or using EvikNova services, you agree to be bound by these Terms.

1) Scope of Services

EvikNova provides a software platform offering AI-powered communication, automation, scheduling, CRM, analytics, integrations, and related services.

Services are designed for use across multiple industries and are made available in 43 countries.

2) Eligibility

You must:

• Be at least 18 years old (or the age of majority in your jurisdiction)
• Have authority to bind an organization if applicable

3) Account Registration and Security

You agree to:

• Provide accurate and complete information
• Maintain confidentiality of credentials
• Be responsible for all activity under your account

You must notify EvikNova of any unauthorized access.

4) Acceptable Use

You agree not to:

• Use the services for unlawful, fraudulent, or abusive purposes
• Violate applicable laws or regulations
• Process unauthorized or unlawful data
• Interfere with system security or integrity
• Reverse engineer, copy, or exploit the platform

EvikNova may suspend or terminate access for violations.

5) Customer Responsibilities

You are solely responsible for:

• The legality, accuracy, and appropriateness of all data processed
• Compliance with applicable laws in your jurisdiction and industry
• Obtaining required consents

6) Industry Compliance

You are responsible for compliance with all applicable industry regulations, including but not limited to healthcare, finance, education, and consumer protection laws.

7) Fees, Billing, and Payment

• Services may be subscription-based, usage-based, or both
• You agree to pay all applicable fees
• Payments are processed via secure third-party providers

Subscription & Auto-Renewal

Subscriptions automatically renew unless cancelled prior to the renewal date. You authorize recurring charges.

8) Refund Policy

All fees are non-refundable once paid, including subscription and usage-based charges, except where required by applicable law or explicitly agreed in writing.

For subscriptions:

• Cancellations take effect at the end of the billing cycle
• No partial refunds or credits are issued

9) Free Trials and Promotions

Free trials or promotions may be offered. Unless stated otherwise:

• Trials convert to paid subscriptions automatically
• You are responsible for cancellation before the trial ends

10) Service Modifications

EvikNova may modify, update, or discontinue any part of the services at any time. Where feasible, reasonable notice will be provided for material changes affecting paid users.

11) Usage Limits and Fair Use

Use of the services is subject to reasonable usage limits to ensure system integrity, performance, and fair access. EvikNova may enforce limits or restrictions where necessary.

12) APIs and Integrations

Use of APIs and integrations must comply with EvikNova documentation and may be subject to additional terms.

13) Beta and Experimental Features

Certain features may be offered as beta or experimental. These features:

• May change or be discontinued at any time
• Are provided without warranties

14) Intellectual Property

• EvikNova retains all rights to the platform and technology
• You retain ownership of your data

You grant EvikNova a limited license to process data solely to provide services.

15) Feedback

You grant EvikNova a perpetual, irrevocable, royalty-free license to use any feedback or suggestions without restriction.

16) Data Protection

Use of services is subject to the EvikNova Privacy Policy. Where applicable:

• Data Processing Agreements (DPAs) apply
• EvikNova acts as a processor/service provider where required

17) AI and Automated Services

• AI outputs may not always be accurate
• Users must review outputs before relying on them
• EvikNova does not provide medical, legal, or financial advice
• Where required, human review may be requested

18) Service Availability

Services are provided on an “as available” basis. Enterprise SLAs, if applicable, are defined in separate agreements.

19) Suspension and Termination

EvikNova may suspend or terminate access:

• For violations of these Terms
• For non-payment
• To prevent security, fraud, or legal risks

20) Disclaimers

To the maximum extent permitted by law:

• Services are provided “as is”
• No warranties are provided

21) Limitation of Liability

To the maximum extent permitted by law:

• No liability for indirect or consequential damages
• Total liability limited to fees paid in the prior 12 months

22) Indemnification

You agree to indemnify EvikNova from claims arising from:

• Your use of the services
• Violation of laws or rights
• Data processed through the platform

23) Export Control and Sanctions

You may not use the services in violation of export control or sanctions laws.

24) Force Majeure

EvikNova is not liable for delays or failures caused by events beyond its control.

25) Assignment

EvikNova may assign these Terms without restriction. You may not assign without prior written consent.

26) Publicity

EvikNova may identify you as a customer in marketing materials unless otherwise agreed in writing.

27) Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States. Disputes shall be resolved in Texas courts unless otherwise required by applicable law.

28) Regional Legal Overrides

Where required by applicable law, certain provisions may be modified or overridden.

29) Entire Agreement

These Terms constitute the entire agreement between you and EvikNova.

30) Severability

If any provision is invalid, the remainder remains enforceable.

31) Electronic Agreement

These Terms may be accepted electronically and have the same legal effect as a signed agreement.

32) Changes to Terms

EvikNova may update these Terms from time to time. Continued use constitutes acceptance.
